Terms of Service

Effective July 28, 2026

These Terms of Service (the "Terms") govern access to and use of the YourQMS quality management platform (the "Service") provided by [LEGAL ENTITY NAME] ("we", "us"). By creating an account, accessing the Service, or agreeing to an order form that references these Terms, the organization you represent (the "Customer") accepts these Terms. If you are accepting on behalf of an organization, you represent that you are authorized to bind it.

1. Definitions

  • "Customer Data" means all data, documents, records, files, and other content that the Customer or its Users submit to, or generate within, the Service.
  • "User" means an individual authorized by the Customer to access the Service under the Customer's account.
  • "Organization" means the tenant workspace provisioned for the Customer, including its dedicated database and regional storage.
  • "Home Region" means the geographic region selected when the Organization is created, in which its data resides.
  • "Documentation" means the in-product guidance and help material we make available for the Service.

2. Accounts and Access

Access to the Service requires a User account. The Service uses passwordless sign-in: a one-time passcode is delivered to the email address on record, and possession of that mailbox is what authenticates the User. The Customer is responsible for maintaining control of the email accounts associated with its Users, for the accuracy of User records, and for all activity occurring under its Organization.

The Customer must promptly deactivate Users who no longer require access, and must notify us without undue delay upon becoming aware of any unauthorized access to its Organization. Access rights are enforced by role and by module; the Customer is responsible for assigning those rights appropriately.

3. Subscriptions, Fees, and Taxes

The Service is provided on a subscription basis for the term stated in the applicable order form. Fees are as set out in that order form, are payable in advance, and are non-refundable except as expressly stated in these Terms or as required by law.

Unless either party gives written notice of non-renewal at least thirty (30) days before the end of the then-current term, the subscription renews automatically for a further term of equal length at our then-current rates. Fees are exclusive of taxes; the Customer is responsible for all sales, use, VAT, GST, and similar taxes, excluding taxes on our income.

We may suspend access to the Service for non-payment where an invoice remains unpaid thirty (30) days after its due date and we have given written notice and a reasonable opportunity to cure. Suspension does not relieve the Customer of accrued payment obligations.

4. Ownership of Customer Data

As between the parties, the Customer owns all right, title, and interest in Customer Data. We claim no ownership of it. The Customer grants us a limited, non-exclusive licence to host, store, process, transmit, and display Customer Data solely as necessary to provide, secure, and support the Service.

We do not use Customer Data to train generally available machine learning models, and we do not disclose Customer Data to third parties except to the subprocessors described in our Privacy Policy, as directed by the Customer, or as required by law.

5. Acceptable Use

The Customer and its Users must not:

  • Use the Service in violation of applicable law or in infringement of a third party's rights.
  • Upload malicious code, or attempt to gain unauthorized access to the Service, another tenant's Organization, or our underlying infrastructure.
  • Probe, scan, or test the vulnerability of the Service without our prior written consent.
  • Resell, sublicense, or provide the Service to a third party as a service bureau, except as expressly permitted in an order form.
  • Reverse engineer or attempt to derive the source code of the Service, except to the extent this restriction is prohibited by applicable law.
  • Interfere with the integrity or performance of the Service, including by circumventing usage limits.

We may suspend access on notice where continued use presents a material security risk, threatens the integrity of the Service for other customers, or is required by law. We will limit any suspension in scope and duration to what the circumstances reasonably require.

6. No Certification of Conformity

YourQMS is a record-keeping and workflow tool. It helps the Customer organize standards, processes, controlled documents, audits, and related records. It does not certify, audit, accredit, or attest to conformity with ISO 9001, IATF 16949, AS9100, or any other standard, and it is not a registrar, certification body, or accredited auditor.

Determining whether the Customer's quality management system conforms to any standard is the responsibility of the Customer and its chosen certification body. Use of the Service does not guarantee a successful audit, certification, recertification, or regulatory outcome, and no statement in the Service or its Documentation should be relied upon as an assurance of conformity.

Any conformity indicators, coverage figures, readiness scores, or completeness measures presented in the Service are derived from data the Customer has entered. They describe the state of that data. They are not an independent assessment of the Customer's quality management system.

7. AI-Assisted Features

The Service includes AI-assisted features that generate suggestions, summaries, drafts, mappings, and similar output. This output is produced by automated systems, is advisory only, and may be incomplete, inaccurate, or unsuitable for the Customer's circumstances.

AI-generated output must be reviewed and approved by a competent person before it is relied upon, released, or incorporated into a controlled document, audit record, or any record submitted to a certification body, regulator, or customer. The Customer remains solely responsible for the accuracy, completeness, and suitability of every record it maintains in the Service, regardless of whether AI-assisted features contributed to it.

We do not warrant that AI-generated output is accurate, complete, current, or fit for any particular purpose, and we disclaim liability arising from reliance on such output that has not been subject to human review.

8. Third-Party Components and Services

The Service is delivered using third-party infrastructure and components, including cloud hosting, identity, email delivery, storage, database, translation, and AI model services. Those providers are described in our Privacy Policy. We are responsible for our subprocessors' performance of the obligations we owe the Customer under these Terms.

Where the Customer chooses to connect the Service to a third-party product that we do not control, that connection is governed by the Customer's agreement with that third party, and we are not responsible for it.

9. Intellectual Property

We and our licensors retain all right, title, and interest in the Service, including its software, interfaces, design, Documentation, and all improvements to them. Except for the limited right to access and use the Service during the subscription term, these Terms grant the Customer no licence to our intellectual property.

If the Customer provides feedback or suggestions about the Service, we may use them without restriction or obligation. Feedback is provided voluntarily and does not include Customer Data.

10. Confidentiality

Each party may receive information of the other that is marked confidential or that a reasonable person would understand to be confidential. The receiving party will use that information only to perform under these Terms, will protect it with at least the care it applies to its own confidential information of like kind, and will not disclose it except to personnel and advisers bound by comparable obligations.

These obligations do not apply to information that is or becomes public without breach, was lawfully known before disclosure, or is independently developed. A party may disclose confidential information where legally compelled, provided it gives prompt notice where lawful so the other party may seek protective treatment.

11. Warranties and Disclaimers

We warrant that we will provide the Service in a professional and workmanlike manner and will not materially decrease its overall functionality during a paid subscription term.

EXCEPT AS EXPRESSLY STATED IN THIS SECTION, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT IT WILL MEET ANY REGULATORY, CERTIFICATION, OR AUDIT REQUIREMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, OR LOST BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY.

EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE FEES PAID OR PAYABLE BY THE CUSTOMER FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

These limitations do not apply to the Customer's payment obligations, either party's indemnification obligations, or liability that cannot be limited under applicable law. The limitations allocate risk between the parties and are reflected in the fees.

13. Indemnification

We will defend the Customer against any third-party claim alleging that the Service, as provided by us and used in accordance with these Terms, infringes that third party's intellectual property rights, and will pay damages finally awarded or amounts we agree in settlement.

The Customer will defend us against any third-party claim arising from Customer Data or from use of the Service in breach of these Terms, and will pay damages finally awarded or amounts the Customer agrees in settlement.

Each indemnity is conditioned on the indemnified party giving prompt written notice, granting sole control of the defence and settlement, and providing reasonable cooperation at the indemnifying party's expense.

14. Term, Termination, and Data Export

These Terms take effect when the Customer first accesses the Service and continue for the duration of the subscription term. Either party may terminate for material breach that remains uncured thirty (30) days after written notice.

For thirty (30) days following expiry or termination, the Customer may export Customer Data from the Service using the export functionality provided. After that period, we may delete Customer Data from active systems, and it will age out of backups in accordance with our retention schedule. Customers with a legal hold obligation should complete their export within the export window.

Provisions that by their nature should survive termination will survive, including ownership, confidentiality, disclaimers, limitation of liability, indemnification, and governing law.

15. Governing Law, Venue, and Language

These Terms are governed by the laws of [GOVERNING LAW], without regard to its conflict of laws rules. The parties submit to the exclusive jurisdiction of the courts located in [VENUE] for any dispute arising out of or relating to these Terms. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

These Terms are drawn up in English. Any translation is provided for convenience only, and in the event of any conflict or inconsistency, the English version governs.

16. Changes to These Terms

We may update these Terms from time to time. Where a change is material, we will give the Customer at least thirty (30) days' notice before it takes effect, by email to the account's administrative contact or by notice within the Service. Continued use of the Service after the effective date constitutes acceptance.

Questions about these Terms may be sent to [PRIVACY CONTACT EMAIL], or by mail to [LEGAL ENTITY NAME], [REGISTERED ADDRESS].
